These terms and conditions govern the purchase and ownership of SYLA NFT collections and digital certificates. Please read them carefully before purchasing any NFTs.
NFT Agreement Overview
Welcome to SYLA NFT collections. These NFT Terms and Conditions ("NFT Terms") govern your purchase and ownership of SYLA non-fungible tokens and any associated physical items from SYLA Interactive ("Company," "we," "our," or "us").
These NFT Terms constitute a legally binding agreement between you and SYLA Interactive. By purchasing an NFT, you agree to be bound by these NFT Terms and all applicable laws and regulations regarding digital assets.
Definitions
NFT - a unique non-fungible token certifying ownership of a digital certificate and a physical SYLA box (if specified by the series).
SYLA Vault - premium NFT series integrated with handcrafted physical SYLA boxes.
Thirdweb - the platform used to deploy smart contracts and integrate with the SYLA website.
NFT Owner - an individual who purchased an NFT and has access to the full functionality of the series.
Physical Item - the handcrafted SYLA box linked to the NFT (if specified).
Purchase
NFTs can be purchased via the SYLA website or supported marketplaces (e.g., OpenSea).
By purchasing an NFT, the buyer agrees to these Terms and Conditions.
If the NFT includes a physical SYLA box, delivery is arranged separately after purchase.
Ownership & Rights
Ownership of an NFT grants rights to the digital certificate and (if specified) the linked physical SYLA box.
NFT owners are entitled to resell their NFTs on secondary markets.
SYLA retains the right to use images of NFTs and physical boxes for marketing purposes.
SYLA NFT Series
Each NFT series is limited to a specific number of items tied to a symbolic date or event (e.g., 14 NFTs in Vault: The 14 Icons).
The owner of NFT #01 in Vault series is manually assigned by SYLA and directly impacts the capitalization of the entire collection.
Physical SYLA boxes are handcrafted and shipped only after the full mint/sale of the series (if specified).
Data Reveal
In certain series (Vault, Icons), the name or story of the person linked to the collection is revealed only after the final NFT in the series is sold.
SYLA may use AI algorithms to publicly evaluate the potential market value of the NFT and the influence of the owner (AI NFT Effect).
Integration & Technology
All NFTs are deployed via Thirdweb smart contracts.
Buyers acknowledge that all NFT transactions are publicly recorded on the blockchain.
The Thirdweb Client ID may be public; Secret Keys are always kept server-side for security.
Liability
SYLA is not responsible for market fluctuations or the resale value of NFTs.
SYLA does not guarantee liquidity or future profits from secondary sales.
Physical items are produced and shipped within the timelines stated for each series.
Personalization
Some series include personalization options (engraving, additional NFT links).
Once personalization is approved, no changes can be made.
Jurisdiction
These Terms and Conditions are governed by the laws of Ukraine and applicable international digital asset regulations.
Updates
SYLA may update these Terms and Conditions without prior notice.
